1. Definitions

• Account: A registered user profile required to access the Services.

• Customer Data: Materials, information, files, or documents submitted, uploaded, or stored by you through the Services.

• Content: Any code, text, images, designs, documents, or materials created by you or imported into the Services.

• Services: All proprietary web-based software, tools, and features provided by dynal.ai.

• Third-Party Services: Any product, application, or service provided by a third party and interoperating with the Services (e.g., Stripe, LinkedIn, Google).

• Personal Information: Any personally identifiable information provided by the Customer pursuant to this Agreement.

• We/Us/dynal.ai: dynal.ai, its parent company, and its subsidiaries.

• You/Customer/User: The person or entity accepting these Terms.

• Website: The dynal.ai domain and any site used to provide the Services.

2. Services

• Subject to these Terms and payment of applicable fees, we grant you a non-exclusive, non-transferable, revocable license to use the Services for your personal or internal business purposes.

• The Services are provided via our platform, including web and/or mobile applications, and may include website building, AI content generation, integrations, and related features.

• We may modify, update, suspend, or discontinue any part of the Services at any time, for any reason, with or without notice.

3. User Accounts

• Account Registration: You must register for an Account to use most features. You agree to provide accurate, current, and complete information and to keep it updated.

• Account Security: You are responsible for maintaining the confidentiality of your account credentials and all activity under your Account. Notify us immediately of any unauthorized use.

• Authorization: Only you or your authorized representatives may use your Account. Do not share your login information or allow others to use your Account.

4. General Conditions

• We reserve the right to refuse service to anyone, for any reason, at any time.

• You agree not to reproduce, duplicate, copy, sell, resell, or exploit any portion of the Services without our express written permission.

• Your Content (excluding payment information) may be transmitted unencrypted over networks and may be altered to conform to technical requirements. Credit card info is always encrypted in transit.

5. Accuracy and Timeliness of Information

• The information provided on our Website and through our Services is for general informational purposes only. You should not rely solely on such material for making decisions.

• We do not guarantee the accuracy, completeness, or timeliness of any information. You are responsible for monitoring our site and Services for changes.

6. Fees, Payments, and Subscription

6.1 Pricing and Plans

• We provide both free and paid subscription plans, as described on our pricing page or equivalent.

• Upgrading to paid plans unlocks additional features, credits, or custom domains per plan details.

6.2 Payments

• Payments are accepted via major credit cards, debit cards, and payment platforms (Stripe, Google Pay, PayPal, Amazon Pay). Supported card types include Visa, MasterCard, Amex, Discover, JCB, and UnionPay.

• By subscribing, you authorize us or our payment processor (e.g., Stripe) to charge your payment method for recurring fees, per your selected plan.

• All fees are in U.S. Dollars and are exclusive of applicable taxes.

6.3 Billing & Renewal

• Subscription fees are billed in advance on a periodic (monthly or annual) basis and auto-renew unless cancelled by you or terminated by us.

• When you upgrade your subscription, the new premium plan takes effect immediately, and your previous plan will remain paused until the premium plan expires. Once the premium plan ends, your account will automatically revert to your previous plan, which will continue until its original expiration date. The previous plan will not be refunded, and the new premium plan will be billed at the standard rate.

• Credits do not roll over between billing periods; unused credits expire at the end of the cycle.

6.4 Cancellation, Refunds & Money-Back Guarantee

• Cancellation: You may cancel your subscription at any time through your account settings. Your cancellation will take effect at the end of the current billing cycle, and you will retain access to paid features until your current subscription period expires.

• Refunds: All payments are non-refundable. We do not provide refunds or credits for any partial subscription periods, unused services, downgrades, or for any amounts paid prior to cancellation, including for automatic renewals. Once a payment has been processed, it is final.

• Subscription End: When your subscription expires or is cancelled:

• Access to Paid Features: You will lose access to premium features, such as unlimited conversations, advanced LinkedIn copy and image generation, agent reasoning displays, and direct LinkedIn posting.

• Token/Conversation Limits: Your account will revert to the free plan limits (e.g., 30 conversations per month). Any remaining paid plan tokens or unused conversations will not carry over or be refunded.

• Content Access: You will retain access to previously generated posts, images, and chat history, subject to our data retention policy, but certain editing or export features may become unavailable.

• LinkedIn Integration: Features like direct posting to LinkedIn and advanced user identity extraction may be restricted or disabled.

• Discounts & Promotions: If your subscription ends, any promotional pricing or discounts you received during your previous subscription will not be available if you subscribe again in the future. You will be charged the standard rates in effect at the time of your new subscription, unless a new promotion is explicitly offered to you.

• Downgrade Effects: Your professional profile settings, long-term memory, and personalized features will be preserved, but access to some of these may be limited until you upgrade again.

We reserve the right to delete or anonymize your personal data after a reasonable retention period, in accordance with our Privacy Policy.

6.5 Taxes

You are responsible for all applicable taxes, levies, and duties, except for taxes based on our net income.

7. License and Acceptable Use

• You are granted a non-exclusive, non-transferable, revocable license to use the Services as permitted by these Terms.

• You may NOT:

• License, rent, sell, assign, distribute, or exploit the Services commercially except as expressly allowed.

• Modify, reverse engineer, decompile, or create derivative works based on the Services or any part thereof.

• Use the Services to build a competing product or service.

• Copy, reproduce, republish, display, or transmit any part of the Services except as permitted here.

• Use the Services for unlawful, fraudulent, harassing, or harmful purposes.

• Interfere with or disrupt the Service, servers, or networks.

All rights not expressly granted are reserved by dynal.ai and its licensors.

8. User Content and Intellectual Property

• Content Ownership: You retain all rights to Content you create or upload to the Services, subject to these Terms.

• Content License to Us: By uploading Content, you grant us a non-exclusive, worldwide, royalty-free, sublicensable license to use, host, copy, display, and distribute your Content as needed to provide, promote, and improve the Services.

• Content Restrictions: You represent that you own or have rights to your Content, and that it does not:

• Infringe or violate any third-party IP, privacy, or proprietary rights;

• Contain viruses or malicious code;

• Violate laws or these Terms.

• We reserve the right to remove or disable Content at our sole discretion without notice.

9. Content and Conduct Restrictions

You must not use the Services or post/upload Content that:

• Violates any law or regulation;

• Is harassing, defamatory, obscene, pornographic, hateful, or discriminatory;

• Infringes intellectual property rights or privacy;

• Contains or links to viruses, malware, or harmful code;

• Promotes unlawful activities, violence, or abuse;

• Attempts to gain unauthorized access to our systems or other user accounts.

10. Data Protection and Privacy

• Your use of the Services is subject to our Privacy Policy, which is incorporated herein by reference.

• If you process personal data of end users, you are responsible for providing required notices and obtaining all necessary consents in accordance with applicable law.

• If you become aware of a data breach involving end user data, you must notify us within 72 hours with details of the breach and remediation steps.

11. Third-Party Services

• The Services may integrate with or link to third-party services, software, or sites. Your use of third-party services is subject to their terms and privacy policies. We are not responsible for their content or actions.

• Payment processing is provided by third parties (e.g., Stripe) and your payment data is shared accordingly.

12. Warranties and Disclaimers

• NO WARRANTY: The Services are provided “AS IS” and “AS AVAILABLE”. We disclaim all warranties, express or implied, including merchantability, fitness for a particular purpose, non-infringement, or accuracy of information.

• We do not warrant that the Services will be uninterrupted, error-free, secure, or that any Content is accurate or reliable.

13. Limitation of Liability

Notwithstanding anything to the contrary and to the fullest extent permitted by law, under no circumstances shall either party, its affiliates, or any licensors or suppliers of dynal.ai be liable for:

(a) Any consequential, indirect, special, incidental, or punitive damages;

(b) Any loss of profits, business, revenue, anticipated savings, or unnecessary expenses;

(c) Any loss, damage, or interruption of data, networks, information systems, reputation, or goodwill;

(d) The cost of procuring any substitute goods or services.

To the fullest extent permitted by law, the aggregate liability of dynal.ai and its affiliates under or in connection with this agreement, the software, and the services shall not exceed the total amount you actually paid to dynal.ai under this agreement in the three (3) months preceding the event giving rise to the liability (if any).

The above exclusions and limitations shall apply:

(a) To the fullest extent permitted by applicable law;

(b) Even if a party has been advised of, or should have been aware of, the possibility of such losses, damages, or costs;

(c) Even if any remedy provided in this agreement fails of its essential purpose;

(d) Regardless of the theory or basis of liability, whether in contract, tort (including negligence or breach of statutory duty), misrepresentation, restitution, or otherwise.

The foregoing cap on liability does not apply to liability of a Company party for (a) death or personal injury caused by a Company party’s negligence; or (b) any injury caused by a Company party’s fraud or fraudulent misrepresentation.

14. Indemnification

You agree to indemnify and hold harmless dynal.ai, its affiliates, officers, agents, and employees from any claim, demand, liability, loss, damages, or expenses (including legal fees) arising from your Content, your use or misuse of the Services, your violation of these Terms, or your violation of any law or third-party right.

15. Termination

• By You: You may terminate your account at any time through your account dashboard or by contacting support.

• By Us: We may suspend, limit, or terminate your access to the Services at any time, with or without notice, for violation of these Terms or for any reason.

• Effect: Upon termination, your access to Services ends and we may delete your Content and Account. Some provisions survive termination (e.g., intellectual property, indemnity, limitations of liability).

16. Governing Law and Dispute Resolution

• Governing Law: These Terms are governed by the laws of the State of Delaware, USA, without regard to conflict of law provisions.

• Dispute Resolution: If you have any concerns or disputes regarding the Services, you agree to first attempt to resolve the dispute informally by contacting dynal.ai.

17. Changes to These Terms

We may update these Terms at any time by posting revisions on our Website. We will notify you of material changes by email or through the Services. Your continued use after changes constitutes acceptance of the new Terms.

18. Entire Agreement and Miscellaneous

• These Terms, together with our Privacy Policy and any supplemental agreements, constitute the entire agreement between you and dynal.ai regarding your use of the Services.

• If any provision is found unenforceable, the remainder will remain in effect.

• Our failure to enforce any right is not a waiver.

• You may not assign your rights; we may assign these Terms without restriction.
